1. Acceptance of Terms
By accessing or using the website of Digital Syncker ("we", "us", or "our") or engaging our professional services (including web design, SEO, social marketing, and brand audits), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our Site or Services.
2. Scope of Services
We provide digital marketing consultation, web design and development, search engine optimization (SEO), social media strategy, and visual design audits. Project timelines, delivery schedules, and scope parameters are defined in individual Campaign Proposals or Statements of Work (SOW) executed between the client and Digital Syncker.
3. Client Responsibilities
To ensure optimal performance and on-time execution, clients must:
- Provide accurate, complete business descriptions, images, logos, and relevant content files.
- Give constructive, prompt feedback during development checkpoints and strategy review sessions.
- Ensure that all provided materials do not infringe on any third-party copyrights or patents.
4. Intellectual Property
Unless otherwise agreed in writing:
- All custom websites, visual elements, copywriting, and promotional content designed specifically for your brand become your property upon receipt of full payment.
- Digital Syncker retains ownership of baseline framework codes, CSS structures, script templates, and general design patterns created prior to or outside the scope of your campaign.
- We reserve the right to display design wireframes, screenshots, and campaign metrics in our agency portfolio and case studies as examples of our work.
5. Billing & Payment
Project-based fees, monthly retainer structures, and payment terms are detailed in your service contract. If payments are delayed beyond the defined grace periods, we reserve the right to pause live campaign operations, SEO tracking systems, or hosting servers until balances are cleared.
6. Limitation of Liability
While we use industry best practices, premium SEO techniques, and data-driven targeting strategies to drive high-impact traffic and conversions, digital market conditions, search engine algorithms, and user behavior can change dynamically. We cannot guarantee specific monetary returns, search result positions, or static traffic volumes. Digital Syncker will not be liable for any indirect, incidental, or consequential damages resulting from campaign downtime or search engine algorithm updates.
7. Termination of Services
Either party may terminate a service agreement under terms defined in individual contracts. Upon termination, client data, custom codes, and active credentials will be transferred back to the client, subject to the settlement of all outstanding invoices.
8. Governing Law
These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of India, with jurisdiction in Chennai, Tamil Nadu.
